All Rainwood Consulting projects are subject to the standard legal terms found in the Consulting Services Agreement (Effective October 7, 2016).  Feel free to pass the Agreement along to your legal representative for review and let us know what questions you may have.


Here is a quick summary of the key terms...


  • Rainwood Consulting is a registered trade name of Rainwood Enterprises, LLC. All agreements are between you and Rainwood Enterprises, LLC ("Rainwood").


  • Rainwood is an independent company and not an employee, agent, joint venture or partner of your company or organization.


  • Any confidential information disclosed by your organization, or others acting on your behalf, remain your property. Rainwood makes every reasonable effort to protect your information and uses said information only to the extent necessary to perform the agreed upon work.


  • You warrant that the use of all materials provided to Rainwood will not violate intellectual property rights and that Rainwood has no responsibility to undertake any investigation of material provided by you to assure that there are no conflicting intellectual property rights.


  • In order to provide a finished project that we can all be proud of, it is critical that clients respond to requests for information, input, or review within a timely manner. If not, Rainwood reserves the right to move back any deadlines accordingly.


  • Rainwood protects itself against scope creep by requiring that any services outside the scope of the project’s proposal/statement of work be agreed to in writing prior to the start of the new work and that the cost of the new work will be added to fees billed.


  • Rainwood may identify your organization in marketing material, including a brief description and screenshot of the project unless the project is noted as confidential and for internal use only. Rainwood may also use samples of work it's members perform on your project in marketing materials unless you provide us with written notice that we may not do so.


  • Finally, Rainwood will submit invoices as specified in the statement of work. Payment is required no later than thirty (30) calendar days following the submission of the invoices unless agreed to upfront. After you have paid in full, you will own all work product delivered to you.
